These Terms of Use ("Terms") govern your access to and use of the Unvera LLC website, products, and services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent that you meet these requirements.

Services description

Unvera LLC builds and operates AI-assisted software products, computational tools, and digital experiences. Specific features, availability, and pricing are described on our website or within the applicable product. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

Accounts and registration

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Payments and billing

Certain Services require payment. All fees are stated in US dollars unless otherwise noted. You agree to provide accurate and complete payment information. Subscriptions automatically renew unless cancelled before the renewal date. We use third-party payment processors and do not store complete payment card details on our servers.

Refunds and cancellations

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference.

Intellectual property

The Unvera LLC name, logos, website content, software, visual design, and related materials are owned by Unvera LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without our prior written consent.

You retain ownership of any content you submit through the Services. By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process that content solely to provide and improve the Services.

Acceptable use

You agree not to misuse the Services. Prohibited activities include:

• Attempting to gain unauthorized access to any part of the Services

To the maximum extent permitted by law, Unvera LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim arising from the Services will not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Unvera LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from these Terms or the Services will first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
